Terms of Service

These Terms of Service ("Terms") govern your use of Cue, a macOS AI assistant developed by Sophon LLC ("we", "us", or "our"). By downloading, installing, or using Cue, you agree to be bound by these Terms. If you do not agree, do not use Cue.

1. Beta Software Disclaimer

Cue is currently in private beta. Beta software is provided for evaluation and feedback purposes. It may contain bugs, incomplete features, or unexpected behavior. We make no guarantees of uptime, stability, data integrity, or feature availability during the beta period.

By using Cue during beta, you acknowledge that the software may change significantly, including removal of features, before or after general release.

Cue, including its name, logo, design, and underlying software, is owned by Sophon LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in Cue.

Content you create using Cue (e.g., files, scripts, documents) remains yours. We claim no ownership over your output.

Our data practices are described in our Privacy Policy, which is incorporated into these Terms by reference. By using Cue, you consent to the data practices described therein.

9. Availability and Modifications

We may modify, suspend, or discontinue Cue — or any feature thereof — at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT CUE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOPHON LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, DAMAGE TO SYSTEMS OR PROPERTY, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE CUE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR CUE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

You agree to indemnify, defend, and hold harmless Sophon LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Cue; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or Cue shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration in San Francisco County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will notify you by email at least 14 days before they take effect. Your continued use of Cue after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Cue.
